Introduction

These Terms of Service ("Terms") govern your use of the Dreamy website and services, operated by Curator Partners Ltd, NZBN: [Company Number] ("Dreamy," "we," "us," or "our").

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

Services

Dreamy provides web design and development services, including:

• Agentic Website development (AI-powered website systems)
• Custom website design and build
• Landing page creation
• Smart Maintenance services (ongoing website support and optimization)

Specific services, deliverables, timelines, and pricing are outlined in individual project proposals and agreements ("Project Agreement").

Project Process

Engagement

Projects begin after both parties sign a Project Agreement and the initial deposit is received. The Project Agreement outlines the scope of work, timeline, deliverables, and payment terms.

Client Responsibilities

To ensure timely delivery, clients are responsible for:

• Providing all necessary content, assets, and access (e.g., hosting credentials, domain registrar access)
• Responding to requests for feedback and approvals within agreed timeframes
• Reviewing deliverables and providing clear, consolidated feedback
• Making timely payments as outlined in the Project Agreement

Delays caused by late client responses or materials may extend project timelines and may incur additional fees.

Revisions

The number of revision rounds included in each project is specified in the Project Agreement (typically 2 rounds for Website tier). Additional revisions beyond the agreed scope may incur additional charges.

Payment Terms

Pricing and Deposits

Project pricing is outlined in the Project Agreement. Unless otherwise specified, a 50% deposit is required to commence work, with the balance due upon project completion and before final delivery.

Payment Methods

We accept payment via bank transfer, credit card, or other methods as agreed. All prices are in NZD and exclude GST unless otherwise stated.

Late Payment

Invoices are due within 7 days of issuance unless otherwise agreed. Late payments may incur interest charges and may result in suspension of services or withholding of final deliverables.

Intellectual Property

Ownership of Deliverables

Upon receipt of full payment, the client owns the final website design and custom code developed specifically for their project. This does not include third-party tools, plugins, frameworks, or pre-existing templates we may use in development.

Portfolio Rights

Unless otherwise agreed in writing, Dreamy reserves the right to display completed projects in our portfolio, case studies, and marketing materials.

Pre-Existing Materials

Clients retain ownership of any materials provided to us (e.g., logos, photography, content). Clients warrant that they have the right to use these materials and will indemnify Dreamy against any claims arising from their use.

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed with reasonable skill and care in accordance with industry standards. For a period of 30 days following project delivery, we will fix any bugs or errors arising from our work at no additional charge.

Limitations

We do not warrant or guarantee:

• Specific business outcomes, revenue, traffic, or conversion rates
• Search engine rankings or SEO performance
• Uninterrupted operation or error-free performance of third-party services
• Compatibility with future software, browser, or platform updates

Third-Party Services

Our services may rely on third-party tools, platforms, or APIs (e.g., hosting providers, AI services). We are not responsible for outages, changes, or discontinuation of these third-party services.

Limitation of Liability

To the maximum extent permitted by law, Dreamy's total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project or service giving rise to the claim.

We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

Cancellation and Refunds

Client Cancellation

Clients may cancel a project at any time by providing written notice. Deposits are non-refundable. If work has commenced, the client will be invoiced for work completed at our standard hourly rate, with any remaining deposit credited against this invoice.

Dreamy Cancellation

We reserve the right to terminate a project if the client breaches these Terms, fails to provide necessary materials, or engages in abusive behavior. In such cases, the deposit is non-refundable, and the client will be invoiced for work completed.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives termination of the Project Agreement.

Indemnification

Clients agree to indemnify and hold Dreamy harmless from any claims, damages, or expenses arising from: (a) materials provided by the client, (b) client's breach of these Terms, or (c) client's use of the deliverables in a manner not authorized by these Terms.

Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved, it shall be resolved through mediation or arbitration in Auckland, New Zealand.

These Terms are governed by the laws of New Zealand. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of New Zealand.

Changes to Terms

We may update these Terms from time to time. We will notify clients of significant changes by email or through our website. Continued use of our services after such changes constitutes acceptance of the updated Terms.

Entire Agreement

These Terms, together with the Project Agreement, constitute the entire agreement between the parties and supersede all prior agreements, understandings, or representations.
